This policy governs the terms for the use of the MusicLessons.com Platform Services (as defined below) by a registered Teacher through the MusicLessons.com site and the respective obligations of the Teacher and MusicLessons.com.

Definitions

Capitalized or quoted terms not defined in this policy statement are defined in the MusicLessons.com Terms of Use.

"Platform Services" means the services and technologies that MusicLessons.com provides to their Members to create free and Premium Content, teach private lessons using video conferencing technology, or interact with each other through our Service.

Fees, Payments

Teachers may create a free, public profile in the MusicLessons.com Teacher & School Directory and are not required to use any MusicLessons.com Platform Services that will incur any charges or fees that would be assessed to the Teacher. If you choose to use the MusicLessons.com Platform Services, you will have the ability to set your own rates and fees that are charged to Students when they access these services. Your rates and fees will be publicly displayed as part of your public profile or within the listings for any Premium Content you provide.

  1. Service Fees. Teachers may enable certain components of the Platform Services that require payments by Teachers to MusicLessons.com for the use of such component services. Payments may be in the form of monthly fees, percentage commissions on Content sold by a Teacher directly to Students/Members, single-use charges and otherwise. Each fee will be described in the component Platform Service accessed by Teacher. Teacher agrees to pay such fees or otherwise have those fees offset by amounts due to Teacher for the delivery of Premium Content by Teacher utilizing the Platform Services.
  2. Payment to Teachers. All Student fees that are assessed by accessing our Platform Services must be paid by Students through the MusicLessons.com platform using the online payment services provided by MusicLessons.com or its then current third-party online payment services provider.
    1. You will be paid by check or direct deposit within the discretion of MusicLessons.com in U.S. Dollars only.
    2. You understand and agree that MusicLessons.com will pay you on a monthly basis, provided that your account balance is greater than $50.00, for all Student payments less all the applicable fees. You will not be paid for cancelled Lessons or rescheduled Lessons until they have been completed. If your account is less than $50.00 in any payment period, your balance will be carried over into the next payment period, and you will receive a payment when your account reaches $50.00 or more.
  3. Cancellation and Refund Policy. You acknowledge and agree that Students may terminate their Premium Content subscriptions and/or Lessons at any time by notice to you and/or MusicLessons.com through the Service. In the event of such cancellation, you will not be entitled to receive any fees or other payment for cancelled Premium Content subscriptions or Lessons. You further acknowledge and agree that MusicLessons.com may offer refunds to Students who are not fully satisfied with their experience or for any Premium Content which has been removed from MusicLessons.com by you or by MusicLessons.com for violations of the Terms of Use. Any refunds shall be deducted from your account and paid from any positive balances therein. MusicLessons.com retains the right of offset for any liabilities for refunds or other costs, charges, fees or expenses incurred by MusicLessons.com with respect to your provision of Content and, without limitation, any violation by you of the MusicLessons.com Terms of Use or the Terms of Use of any third-party accessed through MusicLessons.com.
  4. Taxes. You must be a United States citizen, resident or be prepared to pay taxes in the United States to use the MusicLessons.com Platform Services. All payments and fees are provided and assessed in in US Dollars. MusicLessons.com is required to report all income you make using our Service to the United States Internal Revenue Service. You will provide MusicLessons.com with a true and correct IRS W-9 Form and/or equivalent in your applicable tax jurisdiction. You shall be solely responsible for reporting all income earned by you through the Service and the payment of the appropriate federal, state and/or local taxes. If any sales tax is required by your state or local jurisdiction, you will be solely responsible for collecting and remitting any such taxes. Any failure by MusicLessons.com to provide you with a year-end IRS 1099 Form or equivalent will not relieve you of your obligation to file and remit taxes on income from or through MusicLessons.com.

Validity of Information

You agree that all the information you provide in our Teacher & School Directory is truthful and accurate to the best of your knowledge. We reserve the right to remove your page(s) and all your free and Premium Content from the Service if any information you provide is deemed, in our discretion, to be inaccurate or dishonest.

Relationship with MusicLessons.com

You agree that you are not an employee, contractor or agent of or for MusicLessons.com. You do not have the authority to bind and you shall not bind MusicLessons.com to any contractual or other liability or obligation. You agree that you will use our Platform Services exclusively to engage in the process of teaching music to Students using our Service. Other uses are considered a violation and breach of this Policy and the Terms of Use and may result in the termination of your rights to use the Platform Services. You will not attempt to circumnavigate the Service or accept or receive any payment for Premium Content or other teaching services you conduct using our Platform Services from Students other than through the Service.

Termination

We may at any time cease to continue operating part or all or selectively disable certain aspects of the Service. In the event that we disable or cease providing the Service, other than due to a breach by you of these Terms, our sole obligation to you shall be to pay you for all money you earned through our Platform Services prior to such termination less accrued, unpaid fees due MusicLessons.com. We have no obligation to provide upgrades, updates, support or maintenance for the Service; provided, however, that we reserve the right to make such upgrades and the Service may be unavailable from time to time for support and maintenance purposes. We may also establish additional rules, limits or policies regarding the Service and you agree that your compliance with such rules, limits or policies shall be a condition of your continued use of the service. For example, we may establish limits on the quantity of Content that you may conduct through the Service or the aggregate amount of Content by Teachers that can be scheduled on the Service at a specific time. We may terminate your use of the Service for any reason at our sole discretion and with or without prior notice to you.

Incorporation of Terms of Use

All other terms set forth in our Terms of Use, as may be updated from time to time are hereby included by reference and you accept those terms (including any updates and amendments thereto by MusicLessons.com) including warranty, choice of law, indemnity and arbitration provisions.

Changes to These Terms

If we decide to change these terms, we will post those changes on this page and update the modification date below.
